CoreCivic is currently seeking a Managing Director, Investor Relations position located at our corporate office in Brentwood, TN. Come join a team that is dedicated to making an impact for the people and communities we serve.</p> <p>This position would require a hybrid work schedule of 3 days per week onsite and 2 days remote out of our Brentwood, TN office location.</p> <p>SUMMARY:</p> <p>The Managing Director, Investor Relations is responsible for marketing CoreCivic to institutional investors. Communicates and responds to institutional, retail and registered shareholder inquiries regarding the company, its business, financials, key drivers of the business, opportunities/risks, the industry and other relevant information.</p> <p>ESSENTIAL FUNCTIONS:</p> <p>The incumbent should be able to perform all of the following functions at a pace and level of performance consistent with the job performance requirements.</p> <ol> <li> <p>Leads the investor relations effort to find, support, and encourage prospective investors by broadening awareness and interest through conferences, presentations, meetings, media, and mailings.</p> </li><li> <p>Assists in developing messaging to investor talking points, investor presentations and earnings conference calls. Coordinates conference calls, prepares conference call practice questions (with answers when needed), and leads practice sessions.</p> </li><li> <p>Develops and writes earnings call scripts and all financial related press releases, including quarterly earnings release.</p> </li><li> <p>Analyzes, understands, and interprets financial statements and key performance metrics.</p> </li><li> <p>Maintains professional relationships, manages and responds to all inquiries of research analysts, potential institutional shareholders, portfolio managers, etc.</p> </li><li> <p>Supports the investors' decision-making processes by accompanying visits with analysts and investors to facilities and visits with other appropriate senior leaders.</p> </li><li> <p>Collaborates with Public Relations, Communications, and Research departments on communication and media strategy, operating plan, key messages, integration and consistency of messages and efforts.</p> </li><li> <p>Manages, coordinates for CEO and CFO, and participates in investor road shows, conferences and analysts days, ensuring we are targeting the right type of investor based on company outlook.</p> </li><li> <p>Speaks on behalf of the company at investment presentations, institutions, individual meetings and discussions, and with the media.</p> </li><li> <p>Manages Investor Relations Firm activities.</p> </li><li> <p>Communicates with research analysts covering the company, ensuring they understand the business as they build their financial models.</p> </li><li> <p>Understands and coordinates with Ethics and Compliance department to internally communicate insider trading activity.</p> </li><li> <p>Serves as liaison between shareholders and transfer agent; monitors activities of transfer agent.</p> </li><li> <p>Coordinates quarterly earnings call, annual meeting, special shareholder meetings and assists with proxy solicitation.</p> </li><li> <p>Coordinates and manages development of CoreCivic's Annual Report to shareholders. Maintains knowledge of regulations regarding annual report and company bylaws.</p> </li><li> <p>Researches and maintains data for distribution to investors/analysts as necessary.</p> </li><li> <p>Responsible for development of 'Investor Relations' website content; ensures availability of required information.</p> </li><li> <p>Maintains restricted stockholder listings, and coordinates the issuance of restricted stock and stock options exercised.</p> </li><li> <p>Domestic U.S. and some international travel may be required.</p> </li></ol> <p>QUALIFICATIONS:</p> <p>Graduate from an accredited college or university with a Bachelor's degree in Business or other acceptable related field is required. Eight years of investor relations, finance, or corporate communications experience for a public company is required, with a strong preference for candidates in the real estate industry. Must also possess a sound understanding of financial and investment analysis, and high level verbal and written communication skills and presentation ability. Must possess a clear and thorough understanding of the financial modeling techniques used by security analysts to project a company's operating and financial performance. Knowledge of disclosure requirements/compliance, corporate governance matters and regulations set forth by the Securities and Exchange Commission and the New York Stock Exchange is required. Proficiency in Microsoft Office applications is required.</p>
