<p>This position is an individual contributor with no direct reports or supervisory responsibilities.</p> <p>May take direction from multiple members of the ProMedica Legal Services team.</p> <p>POSITION SUMMARY</p> <p>Assist ProMedica Legal Services department by performing specifically delegated and substantive</p> <p>legal work and support services. Work is performed in accordance with oral and written</p> <p>instructions and results are evaluated through observation and discussion.</p> <p>ACCOUNTABILITIES</p> <ul> <li>All duties listed below are essential unless noted otherwise* </li></ul> <ol> <li>Draft contracts, leases, pleadings, case briefs, correspondence and other legal documents as </li></ol> <p>directed.</p> <ol start="2"> <li>Assist ProMedica Legal Counsel and business unit personnel with respect to legal documents </li></ol> <p>and questions, governmental inspections and surveys by accrediting agencies, file searches in</p> <p>any designated office or facility of the Company, and other areas requiring assistance from</p> <p>ProMedica Legal Services.</p> <ol start="3"> <li> <p>Provide dedicated support to ProMedica Legal Counsel on special, time-sensitive, nonroutine projects/transactions.</p> </li><li> <p>Research and analyze law sources such as statutes, recorded judicial decisions, legal articles,</p> </li></ol> <p>etc.</p> <ol start="5"> <li>Develop, maintain and/or assist with development and maintenance of various logs and </li></ol> <p>databases, to track workflow and ensure proper retention of legal documents.</p> <ol start="6"> <li> <p>Assist with organization and maintenance of corporate governance documents.</p> </li><li> <p>Drafting, filing, and managing various business entity documents for Company's entities with</p> </li></ol> <p>State agencies.</p> <ol start="8"> <li> <p>Assists in acquisition and divestiture activity including due diligence reviews.</p> </li><li> <p>Summarizes and performs routine analysis of depositions, files, laws, medical records, and</p> </li></ol> <p>other material.</p> <ol start="10"> <li> <p>Assists attorneys at depositions or witness interviews.</p> </li><li> <p>Collates documents, compiles information for attorney use, and prepares document and</p> </li></ol> <p>exhibit list.</p> <ol start="12"> <li> <p>Makes Court filings.</p> </li><li> <p>Assists with organization and maintenance of legal files.</p> </li><li> <p>Assist in daily operations of office, including back-up phone coverage, mailing preparations,</p> </li></ol> <p>and scanning into electronic filing system.</p> <ol start="15"> <li>Assist with scheduling meetings, depositions, conferences, and conference calls as needed. </li></ol> <p>Perform other job-related duties as directed.</p> <p>Job Requirements</p> <p>Education: Associate degree in Paralegal studies, or relevant experience in field.</p> <p>Skills: Competent in Microsoft Word, Excel, Outlook, and PowerPoint. Requires effective</p> <p>communication and interpersonal skills, strong organizational skills, high degree of motivation, and</p> <p>a willingness to work flexible hours. Must be able to think and act calmly and logically to meet</p> <p>unusual occurrences of the job without being thrown off stride. Must be able to input and retrieve</p> <p>information from a computer and type 55 wpm.</p> <p>Experience: 2-4 years of paralegal experience (or similar experience)</p> <p>PREFERRED QUALIFICATIONS</p> <p>Education: Bachelor's degree or post-baccalaureate certificate in Paralegal Studies or related field</p> <p>Skills: Flexibility and versatility.</p> <p>Years of Experience: 3-5 years of prior work experience as a paralegal or legal assistant</p> <p>Certification: Paralegal certificate from an ABA accredited program.</p> <p>WORKING CONDITIONS</p> <p>Physical Demands: Must be able to move about organization and between workstations.</p> <p>The above list of accountabilities is intended to describe the general nature and level of work performed by the incumbent; it should not be considered exhaustive.</p> <p>ProMedica is a mission-based, not-for-profit integrated healthcare organizational headquartered in Toledo, Ohio.
