Come join the team that is changing the way North America fuels transportation.</p> <p>Our Headquarters office is located on a beautiful campus in Newport Beach, California.</p> <p>Benefits Offered - 401K, Medical, Dental, Vision, Life, AD&D and more.</p> <p>Competitive compensation of $200,000 - $230,000 Depending on experience</p> <p>Summary</p> <p>The Associate General Counsel is responsible for complex business transactions, drafting and negotiating critical contracts, and assisting with regulatory compliance, entity management, and corporate governance matters. Within this framework, representative duties and responsibilities include, but are not limited to:</p> <p>Essential Duties and Responsibilities</p> <ul> <li>Draft, review, and negotiate commercial contracts and other documents, such as compressed natural gas and liquefied natural gas station and sales agreements, real estate leases, construction contracts, natural gas sales and purchase contracts, renewable energy credit sales agreements, renewable natural gas swap transactions and confirmations, contracts with federal, state and local governmental entities and agencies, requests for proposal, consulting agreements, employment agreements, settlement agreements, loan and security agreements, confidentiality agreements, software licenses, press releases and marketing materials. </li><li>Draft and update template agreements. </li><li>Advise business partners and outside counsel on acceptable negotiated deal terms and risk tolerances. </li><li>Support Corporate Counsel on renewable natural gas swap transactions. </li><li>Act as in-house legal advisor to Company management. </li><li>Monitor, analyze, and advise the Company and management on a broad range of federal and state regulatory matters. </li><li>Assist with all aspects of the company's compliance with applicable laws and regulations, including, but not limited to the Federal Acquisition Regulations, Buy America requirements, Foreign Corrupt Practices Act, California Consumer Privacy Act, federal and state environmental laws and regulations, prevailing wage and apprenticeship requirements, lobbying and campaign finance rules. </li><li>Identify, monitor and track areas of risk, make suggestions for managing risk, and advise management on developments and best practices in corporate governance. </li><li>Assist with entity management and governance, to include drafting meeting materials, agendas, resolutions, consents, minutes, certificates, charters, bylaws, and other governance documents. Assist with compliance with applicable governance and reporting requirements. </li><li>Monitor corporate governance developments and assist the Company in tailoring governance practices to meet needs, expectations and requirements. </li><li>Ensure Company policies and procedures are compliant with local, state and federal laws. </li><li>Conduct internal compliance trainings. </li><li>Monitor, evaluate, report, and advise on legislation and regulatory activity. </li><li>Assist with special projects as needed and other duties as assigned, to include providing general legal support and consultation on an as-needed basis to individuals at all levels of the company in legal, human resources, sales, sales operations, finance and accounting, SEC reporting, M&A, strategy, tax, real estate, marketing, information technology, operations, construction, and engineering. </li><li>Other duties as assigned </li></ul> <p>Qualifications Summary, Skills & Experience:</p> <ul> <li>JD from an accredited U.S. law school, member of the California State Bar or active member in good standing of the Bar of at least one state, territory, or the District of Columbia and must be eligible for and maintain compliance with all rules governing the practice of law by in-house counsel in the state where the attorney resides, and a minimum of twelve (12) years' experience in general corporate and negotiating and documenting complex commercial transactions. </li><li>Understanding of legal matters in areas including finance, accounting, real estate, corporate governance, commercial matters, commercial contracts, employment and labor, construction and gas sale transactions. </li><li>Ability to handle a large volume of transactions and thrive in a fast-paced environment. </li><li>Ability to work under tight deadlines, handle multiple, detailed tasks simultaneously and prioritize appropriately. </li></ul> <p>Qualifications</p> <p>To perform this job successfully, an individual must be able to perform each essential duty satisfactorily. Ability to apply concepts of basic algebra and geometry.</p> <p>Reasoning Ability</p> <p>Ability to solve practical problems and deal with a variety of concrete variables in situations where only limited standardization exists.
