Our culture embodies the spirit of being bold and working collaboratively to create the economy of the future.</p> <p>The IEDC is organized as a public private partnership led by the Secretary of Commerce and governed by a board chaired by the Governor of Indiana.</p> <p>The Indiana Economic Development Corporation has been recognized as one of the 2023, 2024, and 2025 Top Workplaces by Indianapolis Star.</p> <p>Role Overview:</p> <p>The Vice President, General Counsel serves as a executive responsible for providing strategic legal leadership and practical business guidance in support of the Indiana Economic Development Corporation's statutory mission and operational priorities.</p> <p>The General Counsel functions as both a legal strategist and operational partner, ensuring legal frameworks enable the efficient execution of IEDC's economic development mission. This role translates complex legal issues into practical, business-oriented guidance that supports informed executive decision-making.</p> <p>The General Counsel serves as a key member of the executive leadership team, shaping organizational strategy through a legal and governance lens while ensuring the agency operates with clarity, integrity, and appropriate risk discipline. This role emphasizes enterprise-wide leadership, alignment across business functions, and proactive identification of legal opportunities and challenges that impact long-term organizational success.</p> <p>Salary Statement:</p> <p>The salary range for this position is $135,000 - $140,000, commensurate with education and work experience</p> <p>A Day in the Life:</p> <p>General Responsibilities:</p> <ul> <li>Serve as chief legal advisor to executive leadership, agency stakeholders, and internal business teams on strategic and legal matters. </li><li>Set strategic direction and provide executive oversight for legal services delivered by Deputy General Counsels and the broader legal team. </li><li>Advise leadership on significant legal risks, governance issues, and organizational strategy. </li><li>Lead legal support for major agency initiatives, high-value transactions, and complex or high-visibility matters. </li><li>Draft, review, and negotiate significant contracts, MOUs, and strategic agreements. </li><li>Provide guidance regarding compliance with federal, state, and local law applicable to IEDC operations. </li><li>Serve as Ethics Officer and provide advice regarding ethical compliance obligations. </li><li>Serve as Secretary to the Board of Directors and oversee Open Door Law and governance compliance for public meetings. </li><li>Coordinate with external counsel and outside advisors when specialized expertise is required. </li><li>Develop and mentor legal staff while maintaining alignment with organizational priorities. </li></ul> <p>Specific Immediate Duties:</p> <ul> <li>Provide senior-level legal guidance on initiatives that carry enterprise-level legal, financial, or reputational risk. </li><li>Identify and evaluate legal and compliance risks and develop mitigation strategies aligned with agency priorities. </li><li>Ensure adherence to statutory, regulatory, ethics, and governance requirements. </li><li>Advise executive leadership on legal implications of policy, operational, and strategic decisions. </li><li>Oversee litigation strategy and external counsel engagement for complex disputes or matters of significance. </li></ul> <p>Leadership & Strategic Expectations</p> <ul> <li>Demonstrate strong business judgment and the ability to balance legal risk management with operational efficiency. </li><li>Provide clear, actionable legal guidance that supports organizational decision-making. </li><li>Translate legal complexity into practical solutions for executive and operational leaders. </li><li>Support data-informed and accountability-driven decision-making by incorporating legal risk assessment into strategic planning. </li><li>Build collaborative relationships across departments and with external stakeholders. </li></ul> <p>What You'll Need for Success:</p> <p>Education:</p> <ul> <li>Juris Doctor (J.D.) from an accredited law school and active license to practice law in Indiana (or ability to obtain promptly) </li></ul> <p>Experience:</p> <ul> <li>Minimum of 6-8years of progressive work experience in government, corporate and/or private practice environments, including leadership responsibility </li><li>Key membership on multiple turnaround teams preferred </li><li>Demonstrated success leading and developing a team of attorneys, including providing strategic direction, mentoring, and oversight of complex legal work </li><li>Significant experience managing complex contracts, governance matters, and organizational risk </li><li>Strong understanding of corporate structure and policy making processes </li><li>Ability to quickly assess complex situations </li><li>Ability to exercise sound judgment and make fact-based decisions in high-visibility situations </li><li>Ability to confidently offer statutory and/or case-based guidance for executive decision making </li><li>Outstanding communication skills.
