<p>Strong Internal Identified</p> <p>A strong internal candidate has been identified.</p> <p>Salary Grade</p> <p>Senior Staff position, Salary Grade 18 or above.</p> <p>.</p> <p>Job Description</p> <p>POSITION OBJECTIVE</p> <p>The Office of General Counsel handles all aspects of the university's legal related matters. The Senior Associate Counsel will join a team of lawyers providing legal and strategic advice to the university and will work on the wide variety of legal and policy issues that confront a large urban teaching and research institution. Primary focus areas include research and technology transfer, corporate relations, donor relations, foundation relations, government relations, and may also include regulatory compliance, finance, construction, real estate and procurement matters. The Senior Associate Counsel will also work as needed on matters involving employment and labor law, immigration law, health law, litigation, and student and academic matters.</p> <p>ESSENTIAL FUNCTIONS</p> <ul> <li>Provide legal advice required for the analysis and implementation of transactions and ventures related to a wide variety of university matters. (10%) </li><li>Provide strategic and legal advice, lead contract drafting, negotiation, and review, and provide project support for research, technology transfer, and related matters. Ensure legal and regulatory compliance. Research, advise, and provide operational solutions to senior executive leadership and other stakeholders of new laws, existing laws, and legal rights that would impact and affect the legal compliance abilities of the research enterprise. (30%) </li><li>Provide legal advice and contract drafting and review in the areas of donor, corporate, and foundation relations, especially with regard to endowments; support Government Relations Department and the Corporate Engagement Center. Identify and resolve problems involving nonstandard, complex, and/or multi-party contract terms and conditions. (35%) </li><li>Research and analyze law sources such as statutes, judicial decisions, legal articles, treaties, constitutions, and legal codes. Manage complex and sensitive legal agreements and projects in consultation with a wide variety of university administrative offices. (5%) </li><li>Responsible for foreseeing and protecting the university against legal risks. (5%) </li><li>Collaborate with university offices and leadership on initiatives and compliance with laws. (5%) </li><li>Participate in education and training programs. (5%) </li></ul> <p>NONESSENTIAL FUNCTIONS</p> <ul> <li>Keep abreast of recent developments in United States and foreign intellectual property laws and other laws affecting all university research activities. Build and maintain communications with faculty, administrative staff, and affiliated hospitals through regular meetings/emails/conference calls. (4%) </li><li>Perform other duties as assigned. (<1%) </li></ul> <p>CONTACTS</p> <p>Department: Daily interaction with colleagues in the office.</p> <p>University: Frequent contact with senior university administration (president, vice president, provost, and deans), registrar, human resources, deans, trustees, and all levels of support staff.</p> <p>External: Frequent contact with outside counsel, businesses, and state and federal government agencies.</p> <p>Students: Little contact with students.</p> <p>SUPERVISORY RESPONSIBILITY</p> <p>No direct supervisory responsibility.</p> <p>QUALIFICATIONS</p> <p>Experience: 7 years of progressively responsible legal experience in contract drafting and management and administrative experience, preferably at a major academic/ hospital research institution. Experience in reviewing contracts and providing legal advice and counsel.</p> <p>Education/Licensing: Juris Doctorate from an accredited law school; Licensed attorney, in good standing, in the State of Ohio.</p> <p>REQUIRED SKILLS</p> <ul> <li>Knowledge of laws affecting nonprofit, private universities and governance. </li><li>Excellent written and oral communication skills. </li><li>Strong contract drafting skills. </li><li>Excellent legal writing and research skills. </li><li>Ability to synthesize complex and diverse information; collect and research data. </li><li>Ability to read, analyze and interpret statutes and regulations, general business periodicals, professional journals, and policies and procedures. </li><li>Ability to write clearly and informatively; edit work for spelling and grammar; vary writing style to meet needs; read and interpret written information; write memoranda, business correspondence, and policies and procedures. </li><li>Ability to effectively present information and respond to questions from clients and the general public. </li><li>Demonstrated history of successful support, education, and advocacy for all students, aligned with the values, mission, and messaging of the university, while adhering to the staff policy on conflict of commitment and interest. </li><li>Ability to meet consistent attendance. </li><li>Ability to interact with colleagues, supervisors, and customers face to face. </li><li>Ability to solve practical problems and deal with a variety of concrete variables in situations where only limited standardization exists. </li><li>Ability to interpret a variety of instructions furnished in written, oral, diagram or schedule form. </li><li>Ability to balance team and individual responsibilities; contribute to building a positive team spirit. </li><li>Ability to accept responsibility to own actions; follow through on commitments. </li><li>Ability to follow instructions, respond to management direction; commit to long hours of work when necessary to reach goals. </li><li>Demonstrate attention to detail, accuracy and thoroughness. </li><li>Ability to focus on solving conflict and working toward process improvement; maintain confidentiality; identify and resolve problems in a timely manner; gather and analyze information skillfully. </li><li>Ability to listen and get clarification; responds well to questions. </li><li>Knowledge of LexisNexis, internet software; spreadsheet software and word processing software. </li><li>Experience managing complex research and technology transfer legal agreement and projects, as well as regulatory and compliance legal matters. </li></ul> <p>WORKING CONDITIONS</p> <p>This job presents no health or safety hazards, but the individual must be able to work under time constraints in a diverse environment with continuous interruptions and walk-in traffic.
