Our ambition.</p> <p>Job Overview</p> <p>Job Overview</p> <p>Duties of the position are: Provide senior-level legal counsel to private equity sponsors, portfolio companies, strategic acquirers and sellers in a variety of mergers and acquisition transactions, joint ventures and strategic partnerships, impacting a range of industries such as financial, technology, healthcare, manufacturing, human resources etc. Manage junior and mid-level attorneys, law clerks and paralegals engaged in drafting, review and negotiation of main transaction documentation (including purchase agreements, due diligence reports, closing checklists, escrow agreements, and disclosure schedules). Manage junior and mid-level attorneys, law clerks and paralegals engaged in drafting, review and negotiation of ancillary transaction documentation (including corporate constitutional documents, board resolutions, secretary's certificates, exhibits, schedules, security agreements and legal opinions). Launch, together with partners, marketing and business development initiatives, including drafting and delivering pitches, requests for quotation, client relationship meetings and other business development events, and manage financial and administrative aspects of client engagements and matters (including pricing estimates, billing and conflicts clearance). Spearhead research on issues relating to corporate and M&A transactions, including overseeing and providing feedback on junior and mid-level attorney research and legal memoranda. Advise non-profit boards on corporate governance matters including drafting of bylaws and policies. Conduct firm recruitment and participate in hiring process for new attorneys.</p> <p>Must have: Juris Doctor (J.D.), Master of Laws (LL.M.) or foreign equivalent, and 2 years of experience in position offered or as an Associate Attorney (admitted or unadmitted) at an international law firm with annual revenues in excess of $400 million. All of the required experience must have included assisting senior attorneys and partners with advising private equity funds and their portfolio companies on cross-border M&As, insurance M&As, middle-market deals, and healthcare and human resources management transactions; assisting senior attorneys and partners with drafting, review and negotiation of bills of sale, transition services agreements, assignment and assumption agreements, escrow agreements; participated in marketing and business development initiatives, including assisting with drafting and delivering pitches, requests for quotation, client relationship meetings; researching M&A transactions issues including phantom equity, artificial intelligence related regulation; and advising non-profit boards on corporate governance matters.</p> <p>Must be admitted to practice law in New York State.</p> <p>Compensation: $310,000/year.</p> <p>Role requires in-office presence no less than 3 days per week.</p> <p>Herbert Smith Freehills Kramer is an equal opportunity employer; the firm actively seeks diversity among its staff.
