<p>Role: Corporate Counsel - IT Transactions</p> <p>Location: New York, NY or Edison, NJ (onsite at one of these office locations 5 days a week is mandatory)</p> <p>Job Description:</p> <ul> <li>Reviewing, drafting and negotiating inbound and outbound procurement, sales and revenue generating agreements. </li><li>Reviewing, drafting and negotiating complex IT Services and Outsourcing Agreements including: Master Outsourcing Agreements, Professional Services Agreements, Bids and RFPs, Statements of Work, subcontracting agreements, software licensing, reseller agreements, NDAs, and SOWs. </li></ul> <p>Desired Skills & Experience:</p> <ul> <li>At least 7-13 years of relevant work experience in structuring, negotiating, and drafting Outsourcing, IT and Services contracts as a service provider/vendor. </li><li>Must enjoy working with sales teams in the technology and outsourcing industry. </li><li>Must be able to work independently, be self-motivated and have excellent organizational, communication, and problem-solving abilities. </li><li>Must be able to take a pragmatic approach to minimize redlines </li><li>Must have strong negotiation skills with the ability to understand the customer perspective and reach a solution to protect the organization interests </li><li>Must enjoy a fast-paced environment with multiple clients and stakeholders </li><li>Must have experience working with internal stakeholders such as HR, Information Security, finance and to incorporate their comments into the document </li><li>Must be able to take a deal from the RFP stage to signatures independently with minimal supervision </li></ul> <p>Education:</p> <ul> <li>Juris Doctorate (JD) from an accredited law school or equivalent law degree from an international legal education institution, with strong academic credentials. </li><li>The candidate must be, or eligible to be, licensed in good standing to practice law within the US. </li></ul> <p>Job location will be located in Manhattan New York or in Metropark (Edison) New Jersey.
