<p>Make your mark at the world's largest HVAC company</p> <p>The Senior M&A Paralegal is responsible for supporting all aspects of the company's domestic and international mergers and acquisitions activities, from initial deal evaluation to post-closing integration. This role will also manage corporate governance documentation, draft board and shareholder resolutions, and oversee the review and execution of non-disclosure agreements related to M&A projects. The successful candidate must possess organizational and communication skills to collaborate effectively with all levels of the organization, outside counsel, and counterparties. The role requires a highly detail-oriented, process-driven professional who thrives in a fast-paced environment and can balance multiple complex transactions while maintaining the highest standards of accuracy and confidentiality.</p> <p>Location: Hybrid, Plymouth, MN or Remote</p> <p>What you will do:</p> <ul> <li>Coordinating and managing all aspects of domestic and international M&A transactions, including due diligence, data room organization, and closing documentation. </li><li>Overseeing the preparation, negotiation, and execution of non-disclosure agreements related to M&A opportunities, ensuring compliance with corporate policy. </li><li>Tracking key transaction timelines, deliverables, and post-closing obligations, and ensuring all deadlines are met. </li><li>Assisting with regulatory and compliance filings related to corporate transactions. </li><li>Coordinating signatures, notarization, and proper recordkeeping of all deal-related documentation. </li><li>Serving as liaison between internal business teams, outside counsel, and counterparties to ensure smooth information flow during transactions. </li><li>Assisting with post-closing integration activities and supporting cross-functional teams in harmonizing operational and compliance processes. </li><li>Drafting, reviewing, and managing corporate governance documents, including board and shareholder resolutions, written consents, and meeting minutes. </li><li>Preparing and maintaining entity records, corporate charters, bylaws, and other foundational governance materials for subsidiaries and affiliates. </li></ul> <p>What's in it for you:</p> <ul> <li>Medical/Dental/Vision coverage, Paid Time Off, Retirement Savings contribution match, support for community involvement and much more! </li><li>An opportunity to work on high-profile transactions that shape the company's strategic growth. </li><li>The support of a collaborative legal team committed to professional development and knowledge sharing. </li></ul> <p>Minimum Qualifications:</p> <ul> <li>Bachelor's degree and/or Paralegal Certificate from an accredited institution. </li><li>7+ years of M&A paralegal experience in a law firm or in-house legal department. </li><li>Demonstrated experience managing M&A transactions from due diligence through closing and post-closing integration. </li><li>Strong drafting skills for resolutions, consents, and corporate governance documents. </li><li>Experience managing NDAs and other preliminary transaction documents. </li><li>Exceptional organizational skills, with the ability to manage multiple deals simultaneously under tight deadlines. </li><li>High level of integrity, discretion, and professionalism. </li></ul> <p>Benefits:</p> <ul> <li>Daikin Applied offers the following benefits for this position, subject to applicable eligibility requirements: </li><li>Multiple medical insurance plan options + dental and vision insurance </li><li>401K retirement plan with employer contributions matching 100% of the first 3% of employee contributions and 50% on the next 2% of employee contributions </li><li>Company provided life insurance + optional employee paid voluntary life insurance, dependent life coverage and voluntary accident coverage </li><li>Short term and long term disability </li><li>3 weeks of paid time off for new employees + 11 company paid holidays </li><li>Vacation accrues on a monthly basis, unless applicable federal, state and local law requires a faster accrual </li><li>Paid sick time in accordance of the federal, state and local law </li><li>Paid parental leave and tuition reimbursement after 6 months of continuous service </li></ul> <p>The typical hourly pay rate for this position ranges from $35.24 to $56.35 in MN. The range displayed represents the pay range for all positions in the job grade which this position falls. Individual base pay will depend on a wide range of factors including your skills, qualifications, experience, and location.</p>
