<p>Job Summary</p> <p>The Mergers & Acquisitions ("M&A") Sr Corporate Counsel is responsible for assisting in a variety of legal matters related to mergers and acquisitions. The primary focus for this role will be mergers and acquisitions and other high-level commercial transactions. The role will also require counsel and advice in numerous other areas, including employment law, real estate, and regulatory matters.</p> <p>Principle Duties and Responsibilities</p> <ul> <li> <p>Draft documents, negotiate and provide counsel with respect to mergers, acquisitions, and other commercial transactions</p> </li><li> <p>Ensure personnel of newly acquired operations are trained to comply with company policy and federal, state and local laws, rules and regulations</p> </li><li> <p>Assist with employment and human-resources related legal matters</p> </li><li> <p>Review, interpret and negotiate contracts</p> </li><li> <p>Participate in the completion of real estate purchase and sale transactions as part of M&A</p> </li><li> <p>Research substantive law and prepare various reports as required</p> </li><li> <p>Manage the compliance portion of the due diligence process related to mergers and acquisitions</p> </li><li> <p>Prepare reports for the Board of Directors related to the M&A process</p> </li><li> <p>Participate in the integration and on-boarding of acquired targets</p> </li><li> <p>Assist in providing legal support for initiatives within the company's corporate venture capital group</p> </li><li> <p>Performs other duties as required.</p> </li></ul> <p>Qualifications</p> <ul> <li> <p>Law degree (JD) from an ABA-accredited US law school.</p> </li><li> <p>Admitted to practice law in at least one state.</p> </li><li> <p>Minimum 5 to 10 years of experience as a practicing attorney with experience in M&A transactions.</p> </li></ul> <p>The Company is an Equal Opportunity Employer.</p>
