<p>SUMMARY</p> <p>The Chief Legal & Compliance Officer ("CLCO") will serve as a strategic member of the Executive Leadership Team, reporting to the CEO, and will have overall responsibility for the Legal and Compliance functions at the enterprise level. Responsibilities include providing legal counsel to management and the Board, leading a team for reviewing, drafting, and negotiating commercial agreements, managing and resolving legal disputes, overseeing labor & employment, regulatory, compliance, and security matters, and managing outside counsel and legal and compliance systems. The CLCO will also ensure corporate ethics and compliance through the development and oversight of a corporate compliance program.</p> <p>RESPONSIBILITIES</p> <ul> <li>Act as a strategic member of the executive leadership team, directly reporting to the CEO with reporting responsibilities to the Board of Directors. </li><li>Oversee legal and compliance issues for the company, including litigation, contracts management, M&A, corporate compliance, and risk management (including security oversight and insured risks). </li><li>Assess all corporate policies and procedures to identify potential legal risks and compliance shortfalls. </li><li>Provide legal counsel to management for all labor & employment-related matters, including discrimination, wage and hour compliance, employment and non-compete agreements, candidate visa-related issues, executive compensation, separation agreements, independent contractor agreements, and misclassification matters. </li><li>Review, draft, and negotiate all commercial contracts and agreements, including client and candidate contracts, vendor contracts, etc. </li><li>Perform M&A due diligence and review transactional documents. </li><li>Manage external legal firms and insurance carriers as needed. </li><li>Support the process for wrongful termination and harassment complaints. </li><li>Correspond with Federal, State, Local Tax, OSHA, and other governing agencies. </li><li>Inform the company of new or changing laws and regulations that may impact the business and/or industry. </li><li>Provide legal and compliance updates to management and the Board of Directors and/or appropriate Board committees. </li><li>Serve as Corporate Secretary of company entities as required, responsible for Board minutes and corporate governance. </li><li>Lead a team of direct reports as a shared service across the enterprise of operating brands to assist in carrying out the above responsibilities. </li><li>Perform additional duties as requested by management or the Board. </li></ul> <p>REQUIREMENTS AND EXPERIENCE</p> <ul> <li>J.D. from an accredited law school required. </li><li>10+ years of experience with a significant background in complex labor & employment in the staffing industry; experience in healthcare staffing is a plus. </li><li>Transactional experience, including commercial contracts and mergers & acquisitions, is preferred. </li><li>Preferred experience in private equity and related legal matters. </li><li>Experience in a fast-paced industry. </li><li>A "roll-up-your-sleeves" attorney with a passion for the business. </li><li>Must have a healthy ability to manage business risk/benefit analysis. </li><li>Willingness to work outside of normal business responsibilities and work hours as necessary. </li><li>Ability to form a strong presence as a business partner with internal peers and functional leaders. </li></ul> <p>PHYSICAL DEMANDS AND WORK ENVIRONMENT</p> <ul> <li>Ability to use sensory skills to effectively communicate and interact with other employees and the public through use of the telephone, email, video conference and face to face contact </li><li>Ability to use manual dexterity, visual acuity and hearing acuity to effectively use and operate office related equipment such as but not limited to a computer, copier, scanner, camera, phone, headset, keyboard and mouse </li><li>Ability to sit for extended periods of time at a keyboard and workstation with low periods of reaching and standing </li><li>Ability to lift up to 15 pounds at times </li></ul> <p>EQUAL EMPLOYMENT OPPORTUNITY STATEMENT</p> <p>Ingenovis Health is an equal opportunity employer that is committed to diversity and inclusion in the workplace.
