<p>Summary of Job Description:</p> <p>The Manager, Legal Due Diligence leads a team of due diligence paralegals, coaching and developing them to elevate their performance. The Manager, Legal Due Diligence position contributes to strategic management of complex real estate transactions. This position participates in contract negotiations, administration, and project management activities for a wide variety of the most complex due diligence in real estate transactions. This position may participate in vendor relationship building and negotiations. The Manager, Legal Due Diligence manages and maintains the Legal Due Diligence Databases and participates in the acquisition and maintenance of web-based Real Estate Legal applications.</p> <p>Job Responsibilities:</p> <ul> <li>Contributes to strategic management of complex real estate transactions. Provides leadership within Legal Real Estate and RD. </li><li>Participates in contract negotiations, administration, and project management activities for a wide variety of the most complex due diligence real estate transactions and may occasionally include third party consents/contracts. </li><li>Maintains an established real estate network involving ongoing interaction with real estate managers and brokers, construction managers, design managers, outside legal counsel, third party business development parties, real estate attorneys, and department leaders. Builds and sustains third party real estate partnerships. </li><li>Manages, coaches, and develops due diligence paralegals to elevate their performance. Works with the leader of the Legal Due Diligence Team and the Vice President of Real Estate Legal on the selection, evaluation, and retention of due diligence staff. </li><li>May manage and amend vendor agreements, vendor accounting and payment procedures, and create vendor cost summaries and reports. Develops and maintains strong relationships with vendors and other departments (Operations, RD, Licensing) and actively participates in Real Estate and Legal team meetings. </li><li>Responsible for various ancillary agreements and documents for real estate pipeline projects to support the company's growth strategies. Receives and transmits all correspondence related to deliverables, contract changes, related expenses and/or payments. </li><li>May develop pre-negotiation strategy and position, determine type of contract, and conduct negotiations with selected parties. Receives and analyzes proposals and oversees technical evaluation with appropriate internal partners. Recommends modifications to real estate agreements to finalize real estate legal transactions. </li><li>Safeguards confidential information, prepares contract documents, and obtains required signatures; distributes contracts in collaboration with the company's real estate legal and real estate development functions. </li><li>Conducts debriefings on the strengths, weaknesses, and risks of proposals. Monitors contracts for potential problems and recommends innovative methods to deal with any issues.
