<p>Corporate Attorney</p> <p>Location: Boulder, CO - Hybrid (2-3 Days/week)</p> <p>Compensation: $200,000-$260,000 plus bonus; While this salary range is a good faith and reasonable estimate, a candidate's actual salary will be competitive based on a variety of factors including the candidate's knowledge, skills, and experience within the range.</p> <p>Role Summary</p> <p>This role provides legal guidance and support to the company on contracts, compliance, and corporate matters. The position serves as the company's primary in-house attorney and works independently to identify legal risks, review agreements, and ensure company practices comply with applicable laws.</p> <p>This is a hands-on role focused on commercial contracts, regulatory compliance, and managing outside counsel. The position advises senior leadership on legal implications.</p> <p>Key Responsibilities</p> <p>Legal Advice and Risk Support</p> <ul> <li>Provide legal guidance to senior management on contracts and company practices </li><li>Identify legal risks and recommend practical solutions </li><li>Research and interpret applicable laws and regulations </li><li>Advise on legal implications of operational decisions </li></ul> <p>Contracts and Commercial Matters</p> <ul> <li>Draft, review, and negotiate commercial agreements </li><li>Support sales, procurement, and business teams with contract review </li><li>Maintain and improve contract templates and processes </li><li>Ensure consistency and risk alignment across agreements </li></ul> <p>Compliance and Regulatory Matters</p> <ul> <li>Monitor and interpret relevant laws and regulations </li><li>Ensure company practices comply with applicable requirements </li><li>Support regulatory filings and corporate recordkeeping </li><li>Oversee corporate insurance policies </li></ul> <p>Employment and Workplace Legal Support</p> <ul> <li>Provide legal guidance to HR on employment law matters </li><li>Review HR policies and practices for legal compliance </li><li>Advise on investigations and workplace risk when needed </li></ul> <p>Litigation and Outside Counsel Management</p> <ul> <li>Coordinate with outside counsel on disputes and claims </li><li>Gather information and documentation related to legal matters </li><li>Support litigation strategy and settlement discussions </li><li>Manage external legal spend within approved budget </li></ul> <p>Corporate and Intellectual Property Support</p> <ul> <li>Maintain corporate legal documents and filings </li><li>Coordinate with external counsel on patents and trademarks </li><li>Support due diligence and documentation if the company engages in a sale or transaction </li></ul> <p>Team Coordination</p> <ul> <li>Oversee the Contracts & Compliance Manager </li><li>Ensure timely and consistent contract review processes </li><li>Improve legal workflows and documentation systems </li></ul> <p>Decision Authority</p> <ul> <li>Legal interpretation and risk recommendations </li><li>Approval of contract language within company guidelines </li><li>Selection and coordination of outside counsel </li><li>Escalation of significant legal risk to CEO </li></ul> <p>Qualifications</p> <ul> <li>JD and active bar membership </li><li>8+ years of corporate or commercial legal experience </li><li>Experience drafting and negotiating complex contracts </li><li>Strong research and analytical skills </li><li>Ability to work independently with limited supervision </li><li>Experience interacting with senior management </li><li>Practical, business-minded approach </li><li>WHY SPECTRA? </li></ul> <p>Located in the foothills of the Rocky Mountains in Boulder, Colorado, Spectra is an entrepreneurial, private company with more than 40 years of proven success preserving, protecting and defending the world's data.
