Learn more about us at Hydro-Gear.com.</p> <p>Job Type: In Office (NOT a Hybrid position) Full-Time located in Indianapolis IN or Franklin TN</p> <p>Salary:</p> <ul> <li>Commensurate with experience </li><li>Compensation plan includes salary + bi-annual bonus </li></ul> <p>Benefits:</p> <ul> <li>Paid Time Off (PTO) combines vacation, sick, personal days for flexibility of time off </li><li>Paid Holidays </li><li>Relocation Assistance </li><li>Retirement Plans </li><li>Medical, Dental, Vision, Life Insurance </li><li>Health & Wellness Program Benefits with incentives </li><li>Tuition Reimbursement </li></ul> <p>Core Responsibilities of our Corporate Counsel:</p> <ul> <li>Review incoming contracts from customers and vendors, and coordinate with company stakeholders to produce redline responses. </li><li>Draft sales, supply, services, consultant, lease and IT contracts in cooperation with company stakeholders. </li><li>Lead and/or support negotiations of pending contracts with customers and vendors. </li><li>Track contract compliance, and update/renew contracts as required by company. </li><li>Review and refresh standard company contract forms and policies. </li><li>Assist the IP Manager with routine confidentiality agreements, joint development agreements, and licensing agreements. </li><li>Lead the IP department in managing the insurance portfolio and related claims and oversee corporate record retention. </li><li>Assist company stakeholders with product quality or liability issues, and any potential product recalls. </li><li>Coordinate with outside counsel and internal stakeholders, when required, to support pending discovery and/or litigation. </li><li>Review and advise company stakeholders on general legal matters. </li><li>Required Juris Doctorate (J.D.) from accredited law school - Technical discipline preferred in undergraduate degree (but not required) </li><li>2-15 years law firm or in-house experience, preferably with a manufacturing company </li><li>Current bar registration </li></ul> <p>Additional Responsibilities - as qualifications permit</p> <ul> <li>Interview company inventors to review sufficiency of invention disclosures and ensure correct inventorship. </li><li>Coordinate with IP Specialist to develop patent application figures corresponding to approved invention disclosures. </li><li>Draft initial patent applications and coordinate with outside patent counsel to finalize filings. </li><li>Coordinate with IP Manager to develop and execute patent strategies. </li><li>Coordinate with outside counsel in the filing, prosecution, renewal and defense of company trademarks. </li><li>Juris Doctorate (J.D.) from an accredited law school </li><li>2-15 years law firm or in-house experience, preferably with a manufacturing company </li><li>Current bar registration </li><li>Undergraduate degree in a technical discipline </li></ul>
