Our ambition.</p> <p>Job Overview</p> <p>Job Overview</p> <p>Duties of the position are: Lead and direct junior attorneys, law clerks and paralegals in the drafting, review, and negotiation of documents in connection with debt financing transactions. Manage specialist attorneys, junior attorneys, law clerks and paralegals through due diligence process for debt financing transactions. Review and report legal due diligence findings to clients. Advise various clients in the U.S. and globally in connection with debt financing matters. Lead and participate in marketing and business development initiatives and manage financial and administrative aspects of client engagements and matters.</p> <p>Must have: Juris Doctor (J.D.), Master of Laws (LL.M.) or foreign equivalent, and 2 years of experience in position offered or as an Associate Attorney at an international law firm with annual revenues in excess of $400 million. All of the required experience must have included advising lenders, borrowers, agents, investment banks, institutional investors, private equity sponsors, business development companies, public and private companies and foreign law firms in the Americas, Europe and Asia in connection with debt financing deals including leveraged financing, fund financing, life insurance premium financing, art financing, unitranche loans, syndicated financing, mezzanine financing, debtor-in-possession financing, take-back debt, ESG-linked financing, bond offerings, SBA loans, cross-border financing, refinancing and restructuring on lender, agent and borrower side transactions; drafting and negotiating transaction documents including stock redemption agreements, mortgages, life insurance policy assignments, split-lien intercreditor agreements, bad acts guaranties, and legal opinions for debt financing deals; performing due diligence tasks including reviewing trust agreements, supply and purchase agreements, lease and sublease agreements, and life insurance policies; communicating with clients, client teams and foreign lawyers for drafting and negotiation clarifications; advising on applicable laws and regulations including corporate statutes, limited liability statutes, limited partnership statutes, Investment Company Act of 1940, Securities Act of 1933, Dodd-Frank Wall Street Reform, Consumer Protection Act and Basel III; and performing client relationship management and business development, including coordinating client events and presentations to clients.</p> <p>Must be admitted to practice law in New York State.</p> <p>Compensation: $310,000/year.</p> <p>Role requires in-office presence no less than 3 days per week.</p> <p>Herbert Smith Freehills Kramer is an equal opportunity employer; the firm actively seeks diversity among its staff.
