Headquartered in Birmingham, AL, our field operations are located throughout the Appalachian Basin in the states of Tennessee, Kentucky, Virginia, West Virginia, Ohio, and Pennsylvania. In 2021, Diversified announced our expansion into our Central Regional Focus Area, which includes producing areas within Louisiana, Texas, Oklahoma, and Arkansas.</p> <p>POSITION SUMMARY & RESPONSIBILITIES:</p> <p>We are seeking a skilled corporate transactions attorney to join our legal team as "Corporate Counsel" working on a variety of interesting and meaningful projects at a growing public company. ?The successful candidate must have experience supporting a wide range of transactions and corporate matters for innovative, high-growth companies. The Company's dynamic environment demands a proactive, results-driven professional who can efficiently resolve complex challenges with practical solutions working collaboratively with other members of the team. The successful candidate should have a strong background in drafting and reviewing commercial agreements, M&A agreements, and commercial finance agreements, as well as supporting due diligence efforts, and managing various other general corporate processes.? The position is in-office in Charleston, WV.</p> <p>Special focus to be placed on:</p> <ul> <li>Providing legal support and leadership for (i) corporate transactions including mergers, acquisitions, divestitures, joint ventures, and complex commercial arrangements, (ii) strategic transactions including joint ventures and private equity investments and other commercial arrangements, and (iii) financial transactions including credit facilities, debt offerings, and other credit support arrangements.? This includes direct drafting of documents, as well as managing outside counsel as applicable. </li><li>Working collaboratively with the Deputy General Counsel and other members of the legal team to execute on the Company's non-core asset divestiture program. </li><li>Drafting, reviewing, and negotiating initial-stage transaction documents, including confidentiality agreements, term sheets, and letters of intent. </li><li>Assisting with coordination and completion of legal due diligence and disclosures relating to corporate, strategic, and finance transactions. </li><li>Interpreting and advising business functions on provisions and covenants in existing credit facility documents. </li><li>Assisting with creation, restructuring, and dissolution of legal entities. </li><li>Maintaining corporate organization structure. </li><li>Contributing to the development and organization of processes and procedures to create an efficient transaction environment. </li><li>Leading post-acquisition integration and follow-up matters. </li><li>Providing support and guidance on other corporate matters. </li><li>Other legal matters and special projects as assigned. </li></ul> <p>POSITION REQUIREMENTS:</p> <ul> <li>A J.D. from a nationally recognized law school. </li><li>Admission in good standing to a State Bar of any jurisdiction in the United States. </li><li>At least 2 years of experience as a corporate, transactional lawyer practicing at a reputable law firm and/or in the legal department of a public or private company. </li><li>Proactive, energetic, self-assured professional with ability to prioritize effectively, think strategically, see the big picture as well as important details, and will be able to develop solutions and provide practical, risk-balanced advice. </li><li>Strong work ethic, thrives in fast-paced environment, willingness to work long-hours when necessary to sign and close deals, ability to work collaboratively on projects, and manage multiple projects/meet deadlines within budget and with consistently high-quality work product. </li><li>Strong written and oral communication skills, including the ability to explain concepts clearly to non-lawyers, and excellent negotiation and contract drafting skills. </li></ul> <p>Office Physical Requirements and Working Conditions:</p> <ul> <li>Prolonged periods working at a desk in front of a computer. </li></ul> <p>Additional Requirements:</p> <ul> <li>Must be able to lift up to 15 pounds at a time. </li></ul>
