For more information, please visit www.cambridgeassociates.com.</p> <p>Position Overview</p> <p>As a key member of the US Commercial Legal team, this position offers the opportunity to engage in a diverse array of legal matters spanning all facets of the firm's business. The successful candidate will collaborate closely with a dynamic group of attorneys and professionals, providing strategic legal support in areas such as investment management, client contracts, regulatory analysis, and other matters related to the Firm's commercial activities. This role features significant interaction with CA's business teams, clients, investment managers, and other external partners, offering a unique platform to make a meaningful impact across the organization.</p> <p>Job Responsibilities</p> <ul> <li>Draft, advise and negotiate client investment agreements, and other contracts. </li><li>Provide legal support on all aspects of the firm's business, including investment management/advisory, investment research and operations. </li><li>Review and analyze various U.S. local, state, federal and international rules and regulations that impact CA and its clients. </li><li>Lead and participate in various firm-wide legal and regulatory trainings. </li><li>Provide legal support to the Compliance and Risk teams. </li><li>Other legal matters as they arise. </li></ul> <p>Qualifications</p> <ul> <li>J.D. degree required. </li><li>Licensed to practice in the US. Massachusetts preferred. Bar status in good standing. </li><li>Experience with a top law firm, or a combination of law firm and in-house experience. </li></ul> <p>Experience and Skills</p> <ul> <li>General areas of law covered: Investment Advisers Act and general investment management, securities law, ERISA, CFTC/NFA, contract, and transactional work. </li><li>Experience with institutional investment services and/or products, related legal documentation including agreements, offering memoranda. </li><li>Experience with alternative investments and private fund structures: primary, secondary, and direct (co-investment) transactions (formation and/or investment) in private equity, venture capital, and real estate is preferred. </li><li>Experience with litigation, regulatory, risk and compliance matters. </li><li>High levels of accuracy and attention to detail. </li><li>Strong interpersonal skills: the successful candidate demonstrates great collaboration skills, flexibility, initiative, and is an excellent team player. </li><li>Ability to organize and process multiple projects, documents, legal matters simultaneously. </li><li>Comfort and ability to communicate to all levels of employees (strong written/verbal skills). </li><li>Ability to produce high quality output in a fast-paced environment. </li><li>Ability to take direction and work independently with a minimum of supervision. </li><li>Sense of humor. </li></ul>
