In addition, this position will be eligible for additional benefits consistent with the role. The salary of the finalist selected for this role will be determined based on various factors, including but not limited to: scope of role, level of experience, education, accomplishments, internal equity, budget, and subject to Fair Market Value evaluation. In addition to patient care, HSS leads the field in research, innovation and education. The HSS Research Institute comprises 20 laboratories and 300 staff members focused on leading the advancement of musculoskeletal health through prevention of degeneration, tissue repair and tissue regeneration. The HSS Innovation Institute works to realize the potential of new drugs, therapeutics and devices. The HSS Education Institute is a trusted leader in advancing musculoskeletal knowledge and research for physicians, nurses, allied health professionals, academic trainees, and consumers in more than 145 countries. The institution is collaborating with medical centers and other organizations to advance the quality and value of musculoskeletal care and to make world-class HSS care more widely accessible nationally and internationally.</p> <p>THE ROLE</p> <p>HSS is recruiting an Associate General Counsel. Reporting to the Chief Legal Officer, this person will serve as a key member of the hospital's Legal Department, primarily supporting the review, drafting and negotiation of research agreements, and working with both internal and external stakeholders to facilitate research at HSS. Working closely with the Senior Associate General Counsel overseeing the Legal Department's work with respect to research, the Associate General Counsel will handle a wide range of matters, including:</p> <ul> <li> <p>Independently draft, review, negotiate, and manage agreements related to research, including research agreements with industry partners as well as other academic institutions. Such agreements may also include non-disclosure agreements, material transfer agreements, data use agreements, research collaboration agreements, compassionate use agreements, research services agreements, registry participation agreements, memoranda of understanding, sponsored agreements as well as subaward agreements between prime recipient and sub-awardee, and any other research related agreement.</p> </li><li> <p>Assist with the development and review of template contracts and related documents such as intake forms for research.</p> </li><li> <p>Proactively update and develop strong working relationships with investigators and other internal stakeholders</p> </li><li> <p>Provide legal advice and guidance on compliance with federal, state, and local regulations governing research activities, including human subjects protection, financial conflicts of interest in research, export control.</p> </li><li> <p>Conduct legal research on emerging legal issues impacting research.</p> </li><li> <p>Assist on the development, interpretation and implementation of research related hospital policies and procedures, including policies to ensure compliance with legal requirements and best practices.</p> </li><li> <p>Serve as liaison between HSS and external stakeholders, including industry partners, other sponsors and supporters of research, and other tax-exempt entities with whom HSS conducts research as well as legal counsel, to negotiate and facilitate research contracting and resolve legal disputes.</p> </li><li> <p>Serve as liaison between the Office of General Counsel and internal stakeholders to facilitate research at HSS, including, but not limited to, the Office of Research Administration, the Office of Sponsored Programs, the HSS Innovations Institute, and the HSS Research Institute.</p> </li><li> <p>Participate in cross-departmental research initiatives and partnerships to address legal and regulatory challenges to facilitate research at HSS.</p> </li><li> <p>Assist in providing strategic guidance and support to HSS leadership on legal matters impacting research operations, including risk management, contract negotiations, and dispute resolution.</p> </li><li> <p>Assist with conflict-of-interest reviews for research activity.</p> </li><li> <p>Assist with the development and advising on HSS's export control compliance program to ensure compliance with U.S. export control laws and regulations, including the Export Administration Regulations (EAR) and International Tra?c in Arms Regulations (ITAR).</p> </li><li> <p>Assist in providing support or presentations to various executive level committees to support research at HSS, including the committee that reviews proposed transfers of data externally and the committee that reviews and addresses intradepartmental issues that occur in research</p> </li></ul> <p>This is a full-time position. It is presently offered under a hybrid model, with three set days in the office (Tuesday through Thursday) and two days remote (Mondays and Fridays), and with the understanding that the demands of the position may require in-office presence more frequently and that the hybrid program is a pilot program subject to change. The Legal Department is currently located at 777 3rd Avenue, NY, NY.</p> <p>CANDIDATE PROFILE</p> <p>The ideal candidate will be a dedicated attorney with at least seven (7) years of health care transactional and regulatory experience. The candidate may have spent a career working in private practice with a well-regarded regional, national or international law firm with a sophisticated and active health care department or service group or may be someone who has a minimum of two (2) years in a private practice as described above, but has since moved in-house with a health care organization. The ideal candidate will have experience working with non-profit institutions and experience drafting, reviewing and negotiating substantive research contracts (e.g. industry-initiated clinical trial agreements, investigator-initiated clinical trial agreements, collaboration agreements etc.) and other research-related agreements preferably for an academic or non-profit institution in a high-volume environment. The candidate should demonstrate knowledge of contract law, intellectual property issues, and research transactions.</p> <p>The ideal candidate will demonstrate excellent communication skills, as well as exceptional presence and judgment. It is imperative that the successful candidate have the intellect, vision and judgment to contribute across the organization. The individual should thrive in a highly collaborative, collegial but also immediate, results-oriented, and mission-driven culture, and should be comfortable managing numerous projects and competing priorities.
