<p>Location: On site at location listed in job posting</p> <p>Overview</p> <p>We are seeking a detail-oriented and proactive paralegal to support our Corporate Secretary and Corporate & Securities team in various capacities. The ideal candidate will possess strong organizational skills, a solid understanding of legal terminology and procedures, and the ability to interact professionally with our Board of Directors and executive management team. This role is essential to ensuring the smooth operation of the Legal Division of our company, and the candidate could expect to:</p> <p>Duties</p> <ul> <li>Assist the Corporate Secretary and Corporate & Securities team in managing our relationship with our Board of Directors, including direct communication with the Board and committees, ensuring compliance with various regulations, preparation and distribution of Board and committee meeting materials, and facilitation of the smooth running of Board and committee meetings. </li><li>Prepare and file various reports with the Securities and Exchange Commission (SEC), state secretary of state offices, and other governmental agencies. </li><li>Assist with management of our subsidiaries, including carrying out annual subsidiary governance procedures. </li><li>Assist with internal compliance programs overseen by the Corporate & Securities team. </li><li>Assist with the organization and maintenance of our corporate records, including paper and electronic records, compliance with record retention requirements, and document production needs. </li><li>Assist the Corporate & Securities team and the Corporate Secretary with document preparation and general administrative matters. </li></ul> <p>Qualifications</p> <ul> <li>Paralegal certification or previous experience as a paralegal or legal assistant is required. </li><li>Familiarity with document preparation and review processes and legal terminology is essential. </li><li>Strong organizational skills with the ability to manage multiple tasks are essential. </li><li>Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint) and willingness to develop proficiency in various software platforms used by our company, including platforms used to make filings with the SEC. </li><li>Ability to work independently as well as collaboratively within a team environment. </li><li>A commitment to maintaining confidentiality and professionalism in all interactions. </li></ul> <p>About Us</p> <p>First Horizon Corporation is a leading regional financial services company, dedicated to helping our clients, communities and associates unlock their full potential with capital and counsel.
