(AAI) has experienced record growth in the US and is parent company to Advantest Test Solutions Inc., Essai, Inc., R&D Altanova, and other US and foreign based subsidiaries.</p> <p>You will work under the direction of the Advantest America, Inc. General Counsel and will be a member of the growing, fast paced and dynamic US based legal team. This position will work closely with the AAI sales organization, internal departments, in-house counsel/legal team and respective internal clients to manage, draft, negotiate and execute agreements required to support Advantest sales, procurement and services related business transactions, including with respect to master sales and services agreements, SOWs, manufacturing agreements, and more. The ideal candidate is a pro-active, critical thinker, who can work cross functionally, timely, independently and in collaboration with a larger team in a fast paced, growing technology and manufacturing company.</p> <p>Alternate work locations in established, alternate AAI office locations in the western US may be possible, but preference to those who can and will work from the San Jose, CA Headquarters.</p> <p>Essential Duties and Responsibilities:</p> <ul> <li>Manage, draft, review and support negotiation of assigned business contracts, SOWs, and other agreements, including those related to sales and engineering support agreements. </li><li>Work closely with the AAI US sales and engineering business units to align on negotiation strategy, address client revisions to sales related agreements and develop appropriate alternatives in order to finalize agreements </li><li>Correspond with, serve as a liaison between the business unit and legal, and conduct meetings with sales and services business units, internal departments, internal and outside counsel and clients to review agreements and negotiate terms. </li><li>Coordinates with the legal team to analyze potential risks involved with certain contract agreements and helping employees, leaders, and executives better understand the information outlined in the contracts. </li><li>Prepares operational summaries of all executed master sales and service agreements, summarizing key contract terms for the relevant business units. </li><li>Maintain AAI approved sales and services templates to standardize terms/conditions, scope language and other required clauses and update from time to time as needed, with input from the General Counsel, business teams, in-house counsel, and outside counsel as appropriate. </li><li>Prepare summaries of master sales related agreements for the legal, sales and engineering teams to ensure the company's compliance with agreed terms. </li><li>Review and field support related questions about contracts related to sales to US government related entities and prime contractors, including FARs, DFARs and other regulatory contract considerations </li><li>Perform other duties as assigned by General Counsel. </li></ul> <p>Required:</p> <ul> <li>A minimum of 8 years practical experience leading face-to-face or tele/video conference situational contract negotiations </li><li>Minimum Bachelor's Degree in a related field and/or 7-8 years related experience and/or training specific to the review, negotiation and support of transactions in a technology focused industry involving product or equipment sales, engineering services, supply and manufacturing, procurement </li><li>Leadership/management capabilities </li><li>Demonstrated experience in a contracts manager, administrator or similar role in a technology or manufacturing focused industry </li><li>Ability to present a respectful and professional demeanor at all times when interacting with business partners and internal clients. </li><li>Ability to listen to the internal client's and business partner position, concerns and arguments and address same constructively and professionally. </li><li>Ability to articulate Advantest's position, arguments, and justification. </li><li>Ability to read, analyze and interpret legal documents, financial reports and technical documents and to convey contract concepts to non- legal persons within the organization. </li><li>Ability to speak, read, and write fluently and accurately on all levels pertinent to professional needs. </li><li>Ability to solve practical problems, think critically and deal with a variety of concrete variables in situations where there is only limited standardization. Ability to interpret a variety of instructions that may be provided in various forms. </li><li>Ability to effectively present information to various people as the job requires; work independently and/or part of a team; display a willingness to make decisions. </li><li>Proactively initiate discussions to obtain answers, collect business process information, and work with others in a positive and collaborative manner. </li><li>Manage and prioritize competing requests for multiple parties to ensure all tasks are completed on time. </li><li>Possess ability to solve complex problems with minimal guidance based on individual judgment and prior experience. </li><li>Advanced Computer Skills: Ability to utilize MS Office; including proficiency in Excel, Word & PowerPoint. </li></ul> <p>Preferred</p> <ul> <li>Paralegal Certification or JD or combination of directly relevant experience and complementing qualifications. </li><li>Professional contract management certification or demonstrated continuing educational coursework (e.g., National Contract Management Association, Certified Professional Contract Manager (CPCM), IACCM, ACC or university led program) </li><li>Previous experience with Federal Acquisition Regulations (FAR) and Defense Federal Acquisition Regulation (DFARs) related transactional documents, agreements and clauses. </li></ul>
